OpenAI’s leadership has decided that its nonprofit foundation will continue to oversee and maintain a controlling stake in its profit-driven arm, reversing prior restructuring plans. The organization’s business division, which has functioned under the nonprofit’s guidance since 2019, is set to shift into a OpenAI, public benefit corporation while still remaining under the nonprofit’s command.

Leadership confirmed in a statement that OpenAI, public benefit corporation will persist under the stewardship of its original nonprofit board. This outcome was shaped through discussions with civic leaders and key regulatory authorities from California and Delaware.

Legal Scrutiny and Community Reactions

The shift in plans has been closely monitored following widespread concern among various stakeholders, including prominent tech investors. Elon Musk, an early backer, publicly objected to the proposed transformation and initiated legal action, claiming the move compromised OpenAI’s original philanthropic purpose.

A federal court declined Musk’s attempt to block the restructuring immediately but allowed his broader case to proceed, with a jury trial set for 2026. Additional amicus briefs submitted by former employees and advocacy organizations echoed worries over mission drift and stewardship of charitable assets.

Meanwhile, unions, advocacy groups, and prominent figures have consistently pressed regulatory bodies to step in and halt OpenAI’s potential for-profit conversion, fearing loss of charitable commitments. Letters opposing the proposed change came from Nobel laureates, academics, and civil society groups urging California and Delaware officials to intervene.

The debate has centered on OpenAI’s need for vast capital, with some reports suggesting access to recent funding could be jeopardized if structural changes were delayed past certain deadlines. OpenAI now faces uncertainty over how retrenching nonprofit control may impact its capital strategy moving forward.

CEO Sam Altman acknowledged in a message to employees that OpenAI’s ambitions might require immense future investments to fulfill goals of broad societal benefit. He assured that the nonprofit’s significant share ownership in the new structure would be vetted by independent advisors, pledging ongoing dialogue with partners and governance officials as these plans evolve.
